Terms of Service

These terms apply to operations audits, software builds and support plans provided by SolviLab. Every project also has a written proposal or Statement of Work (SOW) with its own scope, price and timeline. If the SOW and these terms differ, the SOW applies.

Plain English

The short version

  • Fixed price for an agreed scope. Changes are priced separately, and only with your written approval.
  • Audit from $1,000, paid upfront. The fee is 100% credited toward a Custom CRM build ($15k–$35k) you start within 60 days.
  • 100% code, database and IP ownership transfers to you upon final milestone payment.
  • NDA availability & GDPR/DPA readiness: Mutual NDAs signed before discovery; standard Data Processing Agreements available for EU & UK clients.
  • 30 days of free bug fixes after launch.
  • Hosting and APIs run on your own accounts, at provider prices, without our markup.
  • Support plans are optional and can be cancelled with 30 days' notice.

This summary is for convenience. The full terms below are what apply.

1. Who we are and how these terms apply

SolviLab is the studio name of two Ukrainian sole proprietors (FOP). Your contract is signed with one of them — Anton Horbenko or Olha Yevtushenko — and invoices come from the same FOP. "SolviLab", "we" and "us" mean the sole proprietor named in your SOW. "Client" and "you" mean the business that signs a proposal or SOW with us.

How we handle personal data from our website and inquiries is described in our Privacy Policy.

These terms apply when a signed proposal, SOW or invoice refers to them. If documents differ, they apply in this order: (1) the signed SOW, (2) these terms. Prices, timelines and descriptions on our website are general information. What we commit to for your project is in your SOW.

We work with businesses only, not with consumers.

2. Our services

  • Operations Audit — a fixed-fee review of a core process, with a clickable prototype and a fixed-price quote for the build.
  • Builds — AI Workflow Automation, Focused Micro-Systems and Custom Operational CRMs, each delivered under its own SOW.
  • Support plans — optional monthly Care and Growth plans for systems in production.

3. Operations Audit

Fee. From $1,000 for one core process. Audits covering more than one process cost more; the price is stated in the proposal.

Payment. 100% before kickoff.

Timeline. 5–7 working days (for a single workflow) from kickoff. Kickoff happens once the fee is received, time with the person who runs the process is scheduled, and access to your tools or a screen-share walkthrough is arranged.

What you receive:
  1. Workflow bottleneck mapping.
  2. A clickable core-flow prototype (5–6 screens) that opens from a link in your browser.
  3. A written fixed-price build specification and timeline, valid for 60 days.

Not included. Full custom software development and production deployment. Deep development begins in the subsequent build phase.

Credit toward the build. If you start a Custom Operational CRM build ($15,000–$35,000) with us within 60 days of receiving the quote — that is, sign the SOW and pay the kickoff invoice — 100% of the audit fee is deducted from the CRM build price.

Cancellation. The audit fee is non-refundable. If you need to move the kickoff, we agree a new date with you. If we can't start the audit, we refund the fee in full. The credit toward the build applies as described above.

Ownership. Everything the audit produces is yours on delivery. You can use it to build with us, in-house or with another team.

4. Scope, timelines and changes

Fixed scope. The SOW states what the system does, who uses it, what it connects to, the price and the milestones.

Fixed price. If the agreed work takes us longer than we estimated, that cost is ours.

Changes. Small adjustments that don't change the agreed scope are included. New features or changes to scope go into a written change request with their own price and timeline. We start that work only after your written approval, and we never bill for work you haven't approved.

Timelines. Dates in the SOW are our planned schedule. You see progress in demos every 1–2 weeks. If we see a risk to a date, we tell you in writing as soon as we know. Delays caused by late access, late feedback or changes you request move the affected dates by the same amount.

5. Your responsibilities

To keep the project on schedule, you agree to:

  • make the person who runs the process available: 2–3 hours during the audit week, and for demo reviews during the build;
  • provide access to the tools and data we need, or screen-share walkthroughs if you prefer not to grant access;
  • participate in live working demos every 1–2 weeks with fast async feedback loops to keep your launch date on track;
  • provide business rules, formulas, price lists and templates, and confirm they are correct;
  • review the system's calculations and documents before using them with your customers;
  • have the right to share with us any data you give us.

6. Demos, acceptance and launch

Demos. We show working parts of the system every 1–2 weeks.

Acceptance. A milestone is accepted when it works as described in the SOW and build scope. Following live working demos every 1–2 weeks with fast async feedback loops to keep your launch date on track, you review and verify the milestone against the specification or provide a written defect list. If you start using the milestone in your day-to-day operations, it counts as accepted.

Defects before acceptance. We fix anything that doesn't match the agreed scope. Requests beyond the scope go through the change process in section 4.

Launch. Launch is the date the final milestone is accepted and the system is ready for production use, whether or not you have switched over yet. The final payment and the 30-day warranty both start from this date. Before switching over, we recommend checking the system's results against a few of your own recent cases.

7. Fees and payment

Payment schedule:
  • Operations Audit: 100% before kickoff.
  • AI Workflow Automation & Focused Micro-Systems: 50% at kickoff, 50% at launch.
  • Custom Operational CRM: 30% at kickoff, 40% at the midpoint demo, 30% at launch.
  • Care and Growth plans: monthly, in advance.

Invoices. Issued in USD and due within 14 days, payable by bank transfer, Wise, Payoneer or card. Work on an audit or a build starts once the first payment is received.

Taxes. Prices exclude applicable local taxes.

Late payment. If an invoice is more than 14 days overdue, we may pause work after giving you written notice. Timelines move by the length of the pause.

8. Ownership

Audit deliverables are yours on delivery.

Builds. Ownership of the code, database and documentation created specifically for you transfers to you once the final payment under the SOW is made. Until then, you may use the work in your business as long as invoices are paid on time.

Your data and business rules are always yours.

Our pre-existing tools. We may use code, components and methods we developed before or outside your project. You receive a perpetual, royalty-free licence to use them as part of your system. We do not reuse your data, your confidential information or the code written specifically for you.

Open-source components stay under their own licences. We list the main ones in the documentation.

Your accounts from day one. Hosting, service accounts, code repositories and documentation are set up in your accounts from the start, so you never depend on us to reach them. On final payment we confirm the transfer of ownership in writing and hand over any remaining admin access. You don't need us to run or change the system.

9. Hosting, third-party services and AI

Your accounts. Systems run on hosting and service accounts you own (for example AWS, DigitalOcean, Hetzner or Google Cloud). You pay providers directly, at their prices. We don't resell or mark up infrastructure.

Third-party services. We're not responsible for outages, price changes or API changes made by hosting providers or other third-party services. After the warranty period, fixing issues caused by such changes is covered by a support plan or quoted separately.

Our use of AI. We use AI tools in our own design and development work, at our cost — for example, to summarise calls and draft proposals. We never put passwords or access credentials into them, and the confidentiality terms in section 10 apply to that work too.

AI inside your system. If your system includes AI features, they run on your own API accounts, under the AI provider's terms. AI features can produce errors. Workflows we build include validation rules and a review queue for items that need a person, and financial or customer-facing actions require approval as set out in the SOW. Running costs of AI features are paid by you to the provider and estimated in the quote.

10. Confidentiality and data

Confidential information. We keep confidential all non-public information you share with us: data, documents, prices, credentials and business metrics. We use it only to do the work, and share it only with team members who need it and are bound by the same obligations. These obligations apply whether or not a separate NDA is signed. We're happy to sign a mutual NDA before you share anything about your operations.

Access. We ask for the minimum access we need, and can work from screen-shares instead. We store credentials in a password manager, not in email or chat. Where possible, you grant access through your own accounts, so you can see and revoke it at any time.

At the end of the engagement, on your request, we return or delete your data and remove our access, unless the law requires us to keep it.

Duration. Confidentiality obligations last for 3 years after the engagement ends, and for trade secrets as long as they remain secret.

Personal data, GDPR and DPA readiness. If we process personal data on your behalf (such as your customers', technicians', or suppliers' details), we act as a Data Processor and provide a GDPR/UK-GDPR compliant Data Processing Agreement (DPA) with Standard Contractual Clauses (SCCs) upon request. Personal data inside your project is strictly governed by this section and that agreement; personal data from our website and inquiries is governed by our Privacy Policy.

Publicity. We never name your company, show your logo or publish results from your project without your written permission.

11. Warranty

30 days after launch, we fix free of charge any defect where the system doesn't work as described in the SOW and build scope.

Response within 1 business day. Issues that stop your operation are prioritised.

Not covered: changes made by you or by third parties; outages or changes in third-party services and hosting; incorrect data, prices or rules supplied to the system; AI output within the error rate agreed in the SOW; new features or changes to scope.

Except for this warranty, the work is provided as delivered, without other warranties, express or implied, to the extent the law allows.

12. Support plans

Care — $500/month, up to 8 engineering hours. Growth — $1,500/month, up to 18 engineering hours.

Work above the plan is done only with your written approval, at $85/hour.

We respond within 1 business day.

Plans are billed monthly in advance and can be cancelled with 30 days' written notice. Your system keeps working without a plan. Support plans don't include an uptime commitment.

13. Ending a project

Either party can end an SOW with 14 days' written notice. You pay for accepted milestones and a proportional part of the milestone in progress. We hand over everything you have paid for, with documentation.

Either party can end an SOW immediately if the other seriously breaches these terms and doesn't fix it within 14 days of written notice.

Sections 7, 8, 10, 14, 16 and 17 continue to apply after a project ends.

14. Liability

Calculations and outputs. The system applies the rules, formulas and prices you provide. You remain responsible for reviewing estimates, quotes and other documents before sending them to your customers.

Indirect losses. Neither party is liable for indirect or consequential losses, including lost profits, lost revenue, lost bids or contracts, or loss of data that could have been prevented by reasonable backups.

Cap. Our total liability under an SOW is limited to the fees you paid under that SOW. For support plans, it is limited to the fees paid in the 12 months before the claim.

Nothing in these terms limits liability that cannot be limited by law.

15. Our website, calculator and demos

Results from our Manual Work Cost Calculator are estimates based on the numbers you enter. They are not a quote or financial advice. The calculator runs in your browser: nothing you enter is sent to us unless you include it in a request.

Live demos, such as the roofing takeoff engine, run on sample prices and rules. Don't use them to price real work.

Prices and timelines on our website are general information. What applies to your project is in your SOW.

16. General

Independent contractors. We work as an independent business, not as your employees or agents.

Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control, including outages of power, internet or provider services. The affected party tells the other as soon as reasonably possible, and deadlines move accordingly. This doesn't apply to payment obligations.

Governing law. These terms are governed by the laws of Ukraine. Any disputes arising in connection with these terms or an SOW will be resolved by negotiations, or in the competent courts of Ukraine.

Entire agreement. The SOW and these terms are the full agreement for a project.

Changes to these terms. We may update these terms and will change the date at the top. Changes don't affect SOWs already signed.

Assignment. Neither party may transfer its obligations under an SOW without the other's written consent.

17. Notices and contact

Formal notices about an SOW or these terms must be sent by email to the address stated in your SOW, or to info@solvilab.com. A notice takes effect on the next business day after it is sent.

For questions about these terms, email info@solvilab.com.
